1. Agreement to Terms
By using the Rubix Voice business VoIP service ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all subscribers, users, and customers of the Service.
The Service is provided by Rubix Systems Inc. ("Rubix Voice," "we," "us," or "our"), with its principal place of business at 173 N Main St, Suite #150, Sayville, NY 11782.
2. Service Description
Rubix Voice provides business Voice over Internet Protocol (VoIP) telecommunications services, including but not limited to: voice calling, video conferencing, SMS messaging, voicemail-to-email, electronic fax (e-fax), and related communication features as described on our website.
3. Billing and Payment
Service is billed on a monthly basis. Charges are due in advance of the service period. You authorize us to charge your payment method on file on the first day of each billing period. All fees are non-refundable except as expressly stated in these Terms or required by applicable law.
Prices are subject to change with 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.
4. No Long-Term Contracts
Rubix Voice is a month-to-month service. You may cancel at any time by providing written notice to hello@getrubixvoice.com at least 30 days before your next billing date. There are no early termination fees.
5. Acceptable Use
You agree not to use the Service for any unlawful purpose or in any way that could harm Rubix Voice, its network, or other users. Prohibited uses include but are not limited to: telemarketing without proper consent, automated dialing in violation of the Telephone Consumer Protection Act (TCPA), fraudulent activity, transmission of spam or malware, or any activity that violates federal, state, or local law.
Rubix Voice reserves the right to suspend or terminate service immediately for violations of this acceptable use policy.
6. 911 / E911 Disclosure
IMPORTANT: VoIP-based 911 calling (E911) may operate differently from traditional landline 911 service. You must register your service address with us to enable accurate E911 dispatch. Failure to maintain an accurate service address may result in emergency services being dispatched to the wrong location. Rubix Voice is not liable for any failure of E911 service resulting from an inaccurate or unregistered address.
You acknowledge that: (a) E911 may not function during a power outage or internet service interruption; (b) you are responsible for maintaining alternative means of contacting emergency services; and (c) you will inform all users of the Service of these E911 limitations.
7. Service Level and Availability
We strive for high availability but do not guarantee uninterrupted service. Planned maintenance will be communicated in advance where reasonably practicable. We are not liable for service interruptions caused by third-party internet service providers, power outages, force majeure events, or circumstances outside our reasonable control.
8. Intellectual Property
All content, trademarks, and software associated with the Rubix Voice service are the property of Rubix Systems Inc. or its licensors. You are granted a limited, non-exclusive license to use the Service for its intended purpose only.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RUBIX VOICE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE FEES PAID BY YOU FOR THE SERVICE IN THE THREE MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to indemnify and hold harmless Rubix Voice, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
11. Term and Termination
These Terms remain in effect while you use the Service. Either party may terminate for any reason with 30 days' written notice. We may terminate immediately for material breach, including violation of the acceptable use policy, non-payment, or illegal activity. Upon termination, your access to the Service will cease and porting of your numbers to another provider may be requested within 30 days of termination.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved by binding arbitration in Suffolk County, New York, except that either party may seek injunctive relief in a court of competent jurisdiction.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes via email to your registered address. Continued use of the Service after the effective date of the changes constitutes acceptance of the new Terms.
